Synopsis

An enterprise acquires legal and economic capacities through institutions that determine who may own assets, transact, appoint decision makers, use information, enter markets and answer for harm. This chapter examines business ownership, corporate personality, contracting, intellectual assets and regulatory obligations as interacting elements of enterprise design rather than isolated legal formalities. It brings institutional economics, property-rights theory, agency and stakeholder accounts, comparative corporate law and responsive regulation into critical dialogue. A targeted documentary synthesis combines foundational scholarship with officially published Rwandan laws and institutional guidance current to 24 October 2026, including the 2024 cooperative and intellectual-property enactments and Rwanda's 2026 competition and consumer protection law, with its specific e-commerce provisions. The analysis distinguishes statutory rules, institutional guidance, comparative frameworks and illustrative choices; it does not substitute for jurisdiction-specific legal advice. An original formation decision framework, legal-form matrix, legal-obligations register and compliance calendar translate legal complexity into managerial decisions. A constructed Rwandan packaged-food and digital-sales venture illustrates how registration, beneficial ownership, contracts, brand protection, consumer claims, data handling and sectoral approvals interact across the enterprise. Comparative analysis considers East African and continental arrangements alongside European corporate, privacy and technology regulation. The chapter argues that institutional quality cannot be reduced to registration speed or compliance counts: legal capacity creates value only when enforceable rights, fair accountability, effective implementation and proportionate safeguards operate together. It concludes with testable research propositions, practical assessment instruments and an integrated responsibility agenda.
